Job Description
JOB PURPOSE
- Counsel and provide legal guidance on Mergers & Acquisitions (M&A).
- Manage and advise company personnel on strategic M&A transactions, primarily domestic but may also include international transactions, including structuring considerations, leading diligence, negotiations and closings of transactions.
- Managing M&A transactions, including drafting and negotiating letters of intent, and definitive and ancillary agreements, advising on deal structure and legal risks, conducting legal due diligence, and supporting integration matters.
- Advise on the financing of M&A transactions to the extent required.
- Advise on regulatory issues associated with M&A Transactions.
- Collaborate with and provide counsel to internal and external stakeholders, including senior management, corporate development and operational teams.
- Manage external counsel on M&A and other commercial / corporate and financial transactions
- Work collaboratively with fellow legal team members to assist in all aspects of commercial transactions and M&A projects, from structuring to completion, to improve processes, share best practices, and generally promote a collegial working environment.
- Provide legal advice on a broad range of general corporate and commercial matters as needed.
- Draft, negotiate, and review of a wide variety of corporate contracts, including share purchase agreements, ancillary documents, disclosure letters, engagement letters, confidentiality agreements, offering memoranda, shareholders agreements, and joint venture agreements.
RELATED YEAR OF EXPERIENCE:
- Min of 12+ years of legal experience in relevant industry, preferably in real estate or development organization including no less than 8 years in private practice in a leading international law firm
- Significant M&A experience
- Experience in strategic partnerships / JVs
- Experience with financing transactions, particularly Islamic Finance would be advantageous
- Min of 4+ years of managerial experience

- Ability to deal with senior executives, Negotiating skills
- Excellent communication and relationship management skills
- Arabic language preferred but not mandatory.
- Bachelors degree in law.
