Role & responsibilities
The Contract Management In-House Counsel is responsible for overseeing and managing all aspects of the organizations contracts, from drafting, reviewing, and negotiating contracts to ensuring compliance with legal, regulatory, and corporate standards. This role works closely with various departments, including procurement, sales, finance, and operations, to develop and implement contract policies and manage risks associated with contract obligations. The ideal candidate will have strong analytical, negotiation, and interpersonal skills, with a background in contract law and experience in corporate legal environments.
Key Responsibilities:
1. Contract Drafting, Review, and Negotiation
- Draft, review, and negotiate a wide range of contracts, including vendor agreements, service agreements, licensing agreements, non-disclosure agreements, and other commercial contracts.
- Develop standardized contract templates to streamline the contracting process while ensuring compliance with company policies and legal requirements.
- Ensure that contract terms align with company objectives, identifying potential risks and recommending revisions where necessary.
- Maintain up-to-date knowledge of legal standards, trends, and best practices to incorporate into contract templates and negotiations.
2. Contract Compliance and Risk Management
- Assess and mitigate legal and financial risks related to contracts by ensuring compliance with regulatory, industry, and internal company standards.
- Work with business units to understand contractual obligations and ensure they are met consistently, while advising on potential risks and providing mitigation strategies.
- Conduct periodic audits and risk assessments on contract compliance and performance.
- Assist in resolving disputes or issues arising from contract terms, collaborating with relevant stakeholders to find solutions.
3. Contract Lifecycle Management (CLM)

- Develop and oversee the organizations Contract Lifecycle Management processes, ensuring efficient handling of contracts from initiation through execution and renewal or termination.
- Implement and maintain contract management software or tools to organize, track, and report on contract data and metrics.
- Coordinate with relevant departments to ensure timely renewals or amendments, preventing lapses in contract coverage.
- Maintain a central repository of all contracts and supporting documentation, ensuring easy access and compliance with data retention policies.
4. Policy Development and Implementation
- Establish and implement contracting policies, procedures, and best practices across the organization, providing training and guidance to relevant departments.
- Develop standardized protocols for contract creation, negotiation, and execution, ensuring consistency and reducing legal risks.
- Monitor and ensure adherence to internal policies and industry regulations, adapting policies as necessary to accommodate changes in law or business strategy.
