About the Team and the Role:

CLIPS team at Ather is responsible for handling Legal, Secretarial, Compliance and Intellectual Property (IP) related matters for the organization. The team ensures that the company complies

with all legal and statutory requirements, internal policies and procedures, external regulations and laws, corporate governance requirements, corporate filing requirements, corporate records

requirements and corporate administration requirements including liaising with regulatory authorities, prepare and maintain legal documents and advise on corporate governance matters.

The proposed hiring is for imparting Management training to two Professional level cleared candidates pursuing Company Secretary course with ICSI and who are looking to undergo 21 months training. Candidates with LLB qualification as well would be preferred.

Roles and responsibilities

• Assisting with compliance under Companies Act, FEMA and SEBI regulations
• Supporting in pre and post Board/General Meeting (agenda, drafting resolutions,minutes)
• Preparation and filing of routine and event-based e-forms with the Registrar of Companies, RBI, SEBI and stock exchanges
• Updating of statutory registers, maintaining up-to date secretarial records
• Assist in Corporate Actions, PIT Regulations, stock exchange disclosures, routine audits, etc.
• Assistance in legal matters (drafting agreements, preparation of legal documents, research notes on legal matters, etc.)
• Assistance in updating Compliance tool for the organization and matters related to compliance, registrations, tracking applicability of various compliances/licenses along with status reporting
• Supporting in matters related to IP

Experience and Qualifications:

• Required qualifications Pursuing Company Secretary course with ICSI- Professional level cleared/pursuing + LLB (preferred)

Must have Competencies:

• Competencies required for the role Knowledge of the Companies Act, 2013, FEMA,SEBI, Labour laws, drafting skills, legal acumen, compliance and IP matters.

Good to have Competencies:

• Prior experience in working with a CS firm/ in an in-house CS/Legal team in any listed corporate.
