Job Purpose
Execute legal operations and provide assistance and support to the TechOps Team Leads, independently handle and end to end manage finalization of basic commercial agreements and legal documents. Undertake legal research and assist the respective Team Leads in project and litigation management.
Key Accountabilities (1/4)
- Drafting, negotiation and finalisation of Commercial Agreements/Legal Documents such as Confidentiality Agreement, Service Agreements, Letter of Authority/Letter of Undertaking etc. within timelines. Provide adequate support to the respective Team Leads and Businesses for structuring and preparing documentation for commercial deals and ensure adherence to specific state/country laws and regulations.
- Interaction with cross-functional team to modify the existing agreements to capture the applicable provisions.
- Review, finalisation and timely completion of the agreements as may be required by the business for carrying out the business activities.
- Drafting of confidentiality agreements, service agreements, employment agreements, software agreements, procurement agreements, and other legal documentations in consultation with the business teams within timelines.
- Negotiation and finalisation of such commercial agreements with internal stakeholders (business teams) and external stakeholders (counter party/lawyers).
- Coordination with business teams for efficient and timely execution of the commercial agreements, highlights the risks and consolidates the comments received from cross functional teams.
- Assistance in modification of the legal agreements by identifying the areas of concern and modifying the drafts in line with the latest legal amendments.
- Provides overview on the completion of the critical business agreements, reviews and provides observations to the Team Lead regarding legal and commercial risks associated with transactions and their potential impact on business, and suggest appropriate mitigating measures.
- Deals with critical and difficult internal stakeholders and ensures finalisation of the agreements within the timelines stipulated by the business and handles the pressures and delivers the work smoothly without any escalations.
- Providing advisory in relation to any queries raised by the business teams.
- To provide advisory and necessary assistance and support to Team Leads to implement the best legal practices and execute all activities in compliance with Cipla standards to ensure smooth and uninterrupted flow of business operations from a legal standpoint.
- To provide legal solutions to the business teams to tackle the business risks.
- Reviews and provides observations to the Team Lead regarding legal and commercial risks associated with transactions and their potential impact on business, and suggest appropriate mitigating measures.
- Provides adequate support to the respective Team Leads and Businesses for all matters as applicable to the business to ensure adherence to the standards set out by the legal and as per the laws and regulations.
- Provide adequate support to the respective Team Lead in day-to-day advisory/opinions to the businesses.
- Coordinate with the business team to obtain relevant information, collation of documents and preparation of list of events etc.
- Prepare accurate interpretation of contract documents and provide observations to the Team Lead.
- Assist the Team Lead in preparing justifications to inquiries regarding existing contract obligations and revisions, identify risks and issues, and suggest alternatives for it.
- Undertake various ad-hoc projects assigned by the Team Leads from time to time.
- Assist in preparing brief/project deck/reports after examination of the documents collated and provided by the internal and external stakeholders.
- Research and prepare notes on the applicable laws and regulatory landscape for the identified territories and keep abreast herself/himself about the legislative changes in pharmaceutical industry in those territories.
- Coordinate with the internal stakeholders and external stakeholders. Prepare update deck for the team.
- Update and maintain data relating to contracts management.
- Deal with multiple functions in Tech-ops and Corporate with large volume work.
- Dealing with critical functions such as IT and Secretarial and ensuring timely closure of agreements.
- Independent handling of basic commercial agreements end to end and support to Team Lead as required for timely handling of volume of assignments.
- Time Management and organised work is essential to manage multiple stakeholders.
- Project Management for coordinating with cross functional stakeholders in driving excellence and closure of transactions with result oriented and solution-oriented approach.
- Technology skills and using technology as a tool to deliver and simplify work.
INTERNAL
- Business and cross functional team teams to understand the business requirements and provides the required agreements or advisory.
- Interacts with other team members of legal and discusses the issues which may have been dealt by other and understands the actions or stand taken and provide solutions or inputs on the business queries.

LLB
Relevant Work Experience
2-5 years of total work experience in Legal.
Dedication, legal knowledge and technical skill, development of subject matter expertise, logical and business orientation in her work. Understanding the business requirements and delivers the work on committed timelines. Ability to learn new things. Strong communication skills and customer relation management is critical.
