Job Description
Reporting to the Director, the Senior Manager ESG - Governance will coordinate with G42 operating businesses to develop and implement corporate governance policies, frameworks and procedures, ensuring alignment with regulatory requirements.
The Senior Manager ESG - Governance will shape G42s corporate governance and ethical operations, ensuring adherence to legal, ethical and industry standards. The role involves collaborating with all operating businesses and cross-functional teams, including data scientists, engineers, legal experts and business leaders, to establish and implement a robust corporate governance framework.
The role will drive ethical practices and decision-making across the G42 Group, in close coordination with compliance and risk teams.
Responsibilities
Corporate Governance Strategy:
- Develop the organizations corporate governance framework, policies, and procedures in accordance with regulatory requirements, privacy laws and industry standards.
- Provide strategic direction and advice on corporate governance risks and opportunities, international regulations, and best practices.
- Champion ethical principles for G42, promoting transparency, fairness and accountability in decision-making and corporate operations.
- Identify and implement auditable mechanisms across the G42 Group to measure performance KPIs such as accuracy, risk, societal impact and responsible AI.
- Develop and update existing procedures to integrate governance factors into G42s operations, including investment decisions, access to sustainable finance, risk assessments and procurement.
- Monitor and continuously update policies and procedures to respond to rapidly evolving corporate governance requirements, including mandatory disclosures.
- Oversee responses to corporate governance raters, working across the company to develop responses on issues to ensure raters have the most up-to-date and complete information to assess performance
- Develop and issue corporate governance inputs for the G42 aggregated ESG reports, in accordance with regulatory and stakeholder requirements and international best practices.
- Lead the implementation of the corporate governance framework models across the G42 Group.
- In collaboration with compliance, risk, IT and HR teams, undertake periodic reviews and update the codes of conduct, policies, and templates.
- Collaborate with risk management teams, across the G42 Group to assess and mitigate corporate governance risks.
- Work with the compliance teams in auditing to ensure corporate governance is tracked and monitored. Implement post-deployment monitoring using well-defined metrics for continued safe, fair, explainable and intended behaviour.
- Manage the external verification of reports to enhance credibility.
- Apply technology and platforms to capture and manage reports and data.
- Lead a robust capacity-building programme for G42 staff and its assets, to provide expert advice on corporate governance including the evolving regulatory requirements.
- Provide governance and secretariat support to the Risk Committee and ESG Taskforce, ensuring efficient and effective meeting management.
- Foster a culture of continuous improvement, where strong corporate governance is regularly reviewed and refined, in response to the rapidly evolving regulatory landscape.
- Promote collaboration with government entities, private sector innovators, NGOs, and research institutions to drive strong governance across the G42 Group.
- Maintain stakeholder trust through the creation and implementation of a fair and transparent corporate governance framework.
- Communicate the organization’s corporate governance progress to stakeholders through various channels, including reports, presentations, and events.
- Communicate corporate governance performance to employees, customers, and investors.

- Bachelor’s degree in Corporate Governance, Business Administration, Finance, Law, sustainability, environmental law or relevant field
- Preferred Masters Degree in Public Management and Governance, MBA, Law or relevant field
- 10+ years of progressive career experience
- Experience establishing and implementing corporate governance frameworks
- Passionate about business ethics, compliance and risk management.
- Innovative, and experienced leader with a demonstrable track record delivering effective corporate governance strategies and issuing transparent reports.
- Exceptional understanding of the ESG corporate governance impacts, risks and opportunities
- Strong organizational skills; ability to work in partnership; ability to manage consultants with confidence; excellent attention to detail
- Strong team player; able to work independently to drive results to deadline; and manage pressure situations.
- Excellent working knowledge of and experience managing consultants and partners, including private and public sector entities
- Experience managing a budget and successfully allocating resources for corporate governance projects
- Excellent verbal and written communication and an ability to deliver high quality presentations
- In-depth knowledge of corporate governance international standards, laws and reporting requirements
- Excellent analytical abilities.
