ESG Counsel

An ESG Counsel acts as the primary legal subject matter expert on environmental, social, and governance (ESG) regulations, advising on sustainability strategy, regulatory compliance (e.g., CSRD, SFDR, CSDDD, SEC climate rules, SEBI BRSR), and risk management. They draft policies, oversee ESG due diligence in supply chains/investments, and manage compliance reporting for corporate stakeholders.

Key Responsibilities

• Regulatory Compliance & Advice: Interpret and apply evolving global ESG, labor, human rights, environmental and climate related regulations, including EU, US, and Indian regulatory frameworks (SEBI BRSR, Companies Act CSR provisions). Advise on regulatory developments and anti-greenwashing risks.
• Legal Risk Management: Identify, assess, and mitigate legal risks associated with climate change, human rights, supply chain transparency and governance.
• Policy & Contract Drafting: Review and update corporate policies, supplier codes of conduct, and ESG-linked contracts.
• 
  ESG Due Diligence (ESGDD): Lead ESG assessments for mergers, acquisitions, and supply chain partners.
• Reporting & Disclosure: Ensure accuracy in sustainability reporting and disclosures for investors and regulatory bodies.
• Stakeholder Engagement: Collaborate with internal teams (sustainability, legal, supply chain, finance, HR, risk and compliance) and external stakeholders (regulators, auditors, ESG rating agencies where required)

Qualifications & Skills

• Education: LLB or JD required, often with specialized knowledge in environmental law or sustainability.
• Experience: 10+ years of experience in corporate law, preferably focusing on compliance, risk, or sustainability.
• Knowledge: Deep understanding of frameworks like SEC rules, EU-CSRD, CSDD, GRI, SASB, OECD guidelines, SEBI BRSR, and TCFD/ISSB standards.
• Skills: Strong analytical, communication, and negotiation skills, with ability to translate complex ESG regulations into practical business guidance.
