Strong knowledge of Companies Act, SEBI regulations, FEMA • Excellent drafting, documentation, and communication skills • High integrity and attention to detail • Ability to work closely with Board and senior leadership , Corporate Governance & Compliance • Ensure compliance with the Companies Act, 2013, Rules, Secretarial Standards (SS-1 & SS-2) and other applicable laws • Advise the Board and senior management on corporate governance matters • Monitor changes in legislation and ensure timely implementation Board, Committee & Shareholder Management • Organize and convene Board Meetings, Committee Meetings and General Meetings • Prepare agendas, notes, minutes, and follow-up on action items • Maintain statutory registers, records, and minutes books • Handle shareholder communications, queries, and grievances Statutory Filings & Regulatory Liaison • File forms and returns with MCA, ROC, SEBI, Stock Exchanges (if applicable) • Liaise with regulators, auditors, legal advisors, and consultants • Ensure timely filing of annual returns, financial statements, and event-based filings Secretarial Audit & Certifications • Coordinate secretarial audits and compliance audits • Prepare and issue certifications, disclosures, and compliance reports • Support internal and statutory audits on governance matters Corporate Restructuring & Transactions • Assist in mergers, acquisitions, joint ventures, fund raising, ESOPs, share issuances • Draft and review board resolutions, agreements, and corporate documents • Ensure compliance with FEMA, RBI, and other regulatory requirements Risk Management & Policy Framework • Support enterprise risk management from a compliance and governance perspective • Draft, update, and implement corporate policies and codes of conduct Legal Advisory • Provide legal advice to management on corporate matters • Draft and review contracts, agreements, and legal documents • Liaise with external legal counsel when required • Handle trademark, patent, and intellectual property matters • Manage litigation and dispute resolution process
