Senior Associate

Jodha Legal is a UAE-based boutique legal consultancy providing general counsel services to founders, investors, and family offices.

The firm delivers high-calibre, relationship-driven legal advice through a distinctive fractional General Counsel (GC) model, where the team plugs directly into the client's business as their in-house legal function, providing practical, commercially focused support across day-to-day operations and strategic initiatives.

We are seeking a Senior Associate who combines technical excellence with sound commercial judgment, and who can work independently in delivering fractional legal counsel services and managing key client mandates across multiple sectors.

Key Responsibilities

• Provide inhouse type legal services, embedding within client organisations as their in-house legal advisor across corporate, real estate, retail, and investment matters.
• Manage and execute complex mandates including:

1. Shareholder, joint venture, and investment agreements
2. Real estate development and investment documentation (SPAs, DMAs, escrow arrangements, development agreements)
3. M&A transactions, group restructurings, and commercial contracts

• Provide ongoing legal and strategic support under GC retainers, advising on operations, governance, compliance, and risk management.
• Draft, review, and negotiate contracts and transaction documents with clarity and precision.
• 
  Liaise with regulators, counterparties, and external advisers to ensure seamless project delivery.
• Support client relationship management and independently handle assigned client portfolios.
• Mentor junior lawyers and contribute to knowledge and process development within the firm.
• Participate in business development and client engagement initiatives aligned with the firm's growth strategy.

Candidate Profile

• Education: LL.B (or equivalent) from a reputable university; LL.M preferred.
• Experience:57 years PQE with solid UAE experience (law firm or in-house).
• Expertise: Corporate/commercial, real estate, and investment structuring.
