Job Overview : As our Assistant Finance Manager , you will be responsible for seeking a detail-oriented and proactive support our corporate governance and compliance functions. The role involves assisting in the preparation and maintenance of statutory records, ensuring adherence to regulatory requirements, and supporting board and committee meetings with timely documentation and reporting. The ideal candidate will possess strong knowledge of company law, excellent communication skills, and the ability to handle confidential information with integrity.

Key Responsibilities

• Drafting Resolutions, Minutes of Board Meeting, General Meetings, Notice and other normal Company Secretarial Documents.
• Vetting of Agreements for Takeover, Franchisee, Business Restructuring
• Vetting of NCLT Petitions for various Dispute Matters under Companies Act
• Preparation and filing of Annual Filing Documents and Forms
• Basic knowledge of Private Limited Companies

• Filing of ECB, FC-GPR, FLA Return and other FEMA compliances
• All secretarial works such as preparation of annual returns, directors reports, CSR reports, issue of shares, increase in Authorised capital, Allotment & Transfer of shares, Charge satisfaction, Charge Creation, Modification.
• Other basic works in DGFT & FEMA.
• Manage company secretarial functions, including notice preparation, agenda setting, minute taking, and statutory filings with MCA.
• Ensure compliance with legal requirements under Companies Act and other relevant laws.
• Provide support on non-core activities such as drafting agreements, contracts, and other documents related to business operations.
• Maintain accurate records of company meetings, resolutions, and other important documents.
  

Qualifications & Skills Required

• 3-6 years of experience in company secretary role or similar position.
• Preferred experience in Big4
• CS qualification mandatory; LLB degree preferred but not required.
• Strong knowledge of companies act, corporate law, and company secretarial functions.
• Excellent communication skills for effective coordination with internal stakeholders.
