Lead Legal Counsel

Primary Purpose

As Lead Legal Counsel, you will be the organizations primary legal strategist, advisor, and guardian. You will handle both litigation and non-litigation matters, safeguard LeadSpire’s interests in government and private partnerships, and build frameworks for risk mitigation across contracts, operations, compliance, and disputes. You will also oversee external counsel and ensure Leadspire Consulting’s work with government, CSR, and development sector partners is fully compliant with applicable laws.

Non-Litigation / Preventive Advisory

• Draft, review, and negotiate MoUs, contracts, and agreements across government tenders, CSR partnerships, NGOs, vendors, consultants, and international collaborators.
• Ensure compliance with laws impacting Leadspire Consultings operations, including Companies Act, CSR regulations, labor laws, child protection laws, taxation, data privacy, and education-sector guidelines.
• Create internal SOPs, policies, and compliance frameworks to safeguard organizational reputation and prevent disputes.
• Conduct due diligence for government contracts, donor agreements, and consortium partnerships, ensuring risk is mapped and mitigated at the start.
• Provide advisory on employment law, intellectual property, corporate governance, and public procurement rules.

Litigation / Dispute Resolution

• Represent and manage Leadspire Consultings interests in civil courts, labor courts, consumer forums, arbitration panels, and regulatory bodies

• Draft and review legal notices, replies, pleadings, affidavits, and settlement frameworks.
• Manage external counsel, ensure cost-efficient litigation strategies, and track all ongoing matters with status updates to leadership
• Handle pre-litigation negotiations with vendors, clients, or government bodies to minimize disputes escalating into court proceedings.
• Respond to statutory/regulatory inquiries and compliance audits in a timely and effective manner.
  

Cross-Functional & Strategic

• Partner with project leaders to embed legal due diligence into program design and execution, especially for government and donor-funded projects.
• Advise the CEO and leadership team on legal strategy for expansion, joint ventures, and partnerships in India and abroad.
• Conduct training sessions for internal teams on contract management, compliance, and risk awareness.
• Build strong working relationships with regulators, statutory authorities, and government departments, ensuring Leadspire Consulting is viewed as a compliant and trusted partner.Role & responsibilities

Skills and Knowledge

• Strong understanding of Indian corporate law, contract law, and employment law.
• Experience in managing legal teams and projects in an Indian context.
• Excellent communication and interpersonal skills in English and Hindi.
• Ability to work independently and as part of a team
• Experience in providing legal advice to businesses operating in India.
• Knowledge of international law and regulations relevant to India.
• Experience in negotiating complex legal agreements in an Indian context.
• Ability to analyze complex legal issues and provide practical advice tailored to the Indian legal landscape.
