Job Title: Company Secretary (CS)

Job Summary:
Company Secretary (CS) will be responsible for ensuring that the company adheres to all corporate governance and regulatory requirements, managing the companys legal and compliance obligations, and providing advice on corporate law, shareholder meetings, and board matters. This role requires a deep understanding of Indian corporate law, the Companies Act, 2013, SEBI regulations, and other relevant legal frameworks.
Key Responsibilities:
- Corporate Governance: Ensure compliance with the provisions of the Companies Act, 2013, SEBI regulations, and other statutory requirements. Maintain good corporate governance practices in the organization.
- Board Meetings & Shareholder Communication: Organize, attend, and record minutes for board meetings, annual general meetings (AGMs), extraordinary general meetings (EGMs), and committee meetings. Assist in the preparation of notices, agendas, and resolutions.
- Compliance & Filing: Ensure timely filing of documents with regulatory authorities such as the Ministry of Corporate Affairs (MCA), Registrar of Companies (RoC), SEBI, and others. This includes annual filings, financial statements, and returns.
- Legal Advisory: Advise the Board, senior management, and other departments on legal and regulatory matters. Draft, review, and ensure the compliance of contracts and agreements.
- Regulatory Reporting: Oversee the companys reporting obligations under various laws, including the Companies Act, Securities Laws, and FEMA. Ensure timely submission of filings with SEBI and stock exchanges.
- Corporate Restructuring: Assist in corporate restructuring activities, such as mergers, acquisitions, demergers, and other corporate actions.
- Shareholder Relations: Ensure effective communication with shareholders, including managing share transfers, dividend declarations, and capital market-related filings.
- Secretarial Audit: Oversee the appointment of secretarial auditors and ensure compliance with secretarial audit provisions. Implement corrective measures based on audit findings.
- Risk Management & Compliance: Assist in managing the companys compliance risks, provide inputs on internal policies, and ensure compliance with labor, environmental, and tax laws.
- Representation: Represent the company before regulatory bodies, authorities, and tribunals on legal and corporate matters.
- Advisory on Corporate Policies: Assist in formulating internal policies and guidelines, including corporate social responsibility (CSR) and whistleblower policies.

Educational Qualification:
- A Graduate in Law or Commerce (preferred).
- Company Secretary (CS) qualification from the Institute of Company Secretaries of India (ICSI) is mandatory.
- Postgraduate degree in Law or Management (optional but preferred).
Experience:
- Minimum 10 years of experience in a corporate legal/compliance role.
- Experience in a public company, listed entity, or large private company is preferred.
- Familiarity with the Companies Act, 2013, Securities and Exchange Board of India (SEBI) regulations, and other relevant corporate laws in India.
