Job Summary

Snapmint is looking for a Company Secretary with a strong understanding of legal provisions and their interpretation. The ideal candidate should possess effective communication skills, be open to working on challenging assignments, and be willing to undertake research work when required.

The candidate will gain exposure to matters related to the Companies Act, FEMA, RBI regulations, and NBFC compliances.

Responsibilities:

  • Handling all the secretarial compliances for SCAPL group
  • Preparing agenda, notice, minutes, and resolutions for all Board meetings, shareholders meetings and committee meetings and periodical updation of statutory registers of the Company.
  • Handling compliances related to Rights Issue, Bonus Issue, Private Placement of equity shares, Compulsorily Convertible Preference Shares, debentures, commercial papers etc;
  • Preparation and filing of statutory forms with ROC, RBI, MCA and other authorities:
  • Handling FEMA compliances i.e., Filing of FC-GPR, FC-TRS, ODI, Downstream Investment reporting, Annual Return on Foreign Assets and Liabilities and other periodical reports, forms with RBI and other regulatory authorities;
  • Carrying out research on corporate secretarial matters to help businesses with the interpretation and implementation of relevant company law regulations.
  • Keep track of various legal updates in Companies Act, 2013 and RBI notifications with respect to payment systems.
  • Maintain repository of policies of the Companies, duly approved by the committee.

Skills and Qualification Required

  • Qualified Company Secretary with 12 years of relevant experience.
  • Strong verbal and written communication skills.
  • Understanding of RBI guidelines, E-commerce regulations, and the Legal Metrology Act will be an added advantage.
  • Proficient in MS Office tools, including Word, Excel, and PowerPoint.

Location: Mumbai (Andheri / Vidyavihar)

Working Days: 5 days & Alternate Sat working
