Job Description
Position: Senior Manager Legal
Industry: Automotive / Auto Components (Tier 1 Supplier)
Qualification: LL.B. / LL.M. from a recognized university
Role Overview
The Senior Manager Legal will be responsible for handling end-to-end corporate legal matters for the listed parent entity and its unlisted subsidiaries. The role requires strong exposure to corporate laws, litigation management, contract lifecycle management, joint ventures, and regulatory compliance, with effective coordination with external counsels and internal stakeholders.
Key Responsibilities
Corporate & Commercial Law
- Handle corporate legal matters relating to the Companies Act, SEBI regulations, listing compliances, and corporate governance requirements.
- Support the Board, Committees, and senior management on legal matters, resolutions, and policy frameworks.
- Ensure legal compliance across subsidiaries, group entities, and joint ventures.
Litigation Management
- Oversee and manage civil, commercial, labor, tax, and regulatory litigations.
- Coordinate with external advocates, senior counsels, and law firms for case strategy, filings, hearings, and follow-ups.
- Track litigation status, risks, and exposure; provide periodic updates to management.
Contract Management
- Draft, review, negotiate, and vet a wide range of contracts including:
- Customer and supplier agreements
- OEM contracts
- Technology transfer and licensing agreements
- NDAs, MOUs, service agreements, and lease deeds
- Ensure contracts align with business objectives while mitigating legal and commercial risks.
Joint Ventures & Strategic Transactions
- Provide legal support for joint ventures, collaborations, mergers, acquisitions, and restructuring activities.
- Review and negotiate JV agreements, shareholders’ agreements, and related transactional documents.
- Coordinate legal due diligence and documentation with internal teams and external advisors.
Regulatory & Compliance
- Ensure compliance with applicable corporate, industrial, environmental, and labor laws.
- Support internal audits, legal compliance audits, and regulatory inspections.
- Monitor changes in laws impacting the automotive and manufacturing sectors and advise management proactively.

Stakeholder & Counsel Coordination
- Act as the single point of contact with corporate lawyers, advocates, regulators, and consultants.
- Work closely with Finance, Secretarial, HR, Procurement, and Business teams to provide timely legal advice.
Key Skills & Competencies
- Strong understanding of corporate laws, SEBI regulations, and litigation processes
- Proven expertise in contract drafting and negotiation
- Hands-on experience with joint ventures and corporate transactions
- Ability to manage multiple stakeholders and external counsels
- Strong analytical, communication, and risk-assessment skills
- High level of integrity and business orientation
Preferred Experience
- Experience in a listed manufacturing / automotive / Tier-1 auto component organization
- Exposure to handling legal matters for group companies and unlisted subsidiaries
- Prior experience working closely with Company Secretarial and Finance functions
