Head - Finance & Accounts(With IPO Exp) - Manufacturing Firm

ROLE OVERVIEW :
Head of Finance & Accounts will serve as the principal financial steward and strategic partner to the business. The incumbent will be accountable for the Company's financial strategy, capital markets journey, investor relations, governance, treasury, risk management, and enterprise-wide financial performance.
JOB DESCRIPTION :
1. Financial Strategy & Business Partnering :
- Formulate and execute the long-range financial plan aligned with the Company's growth strategy across geographies and product lines and provide strategic plan for organic growth and inorganic opportunities.
- Drive rigorous financial modelling, scenario planning, and capital allocation discipline across all business verticals.
- Partner with the Group CEO and business heads to improve operating leverage, working capital efficiency, and return on invested capital (ROIC).
- Oversee the financial operations of overseas subsidiaries / representative offices across Europe, Americas, or Asia-Pacific.
2. Financial Reporting & Controllership :
- Ensure accurate, timely, and compliant financial reporting in line with Ind AS / IFRS standards.
- Oversee statutory audit, internal audit, cost audit, and secretarial audit processes.
- Strengthen accounting policies, internal financial controls (IFC), and financial governance frameworks ahead of and post-listing.
- Drive transition to listed entity reporting standards including quarterly results, analyst disclosures, and annual reports.
3. Treasury, Taxation & Risk Management :
- Manage banking relationships, working capital facilities, and long-term debt, including international credit lines given multi-geography operations.
- Oversee forex risk management strategy given Euro/USD/INR exposure across global revenues and procurement.
- Supervise direct and indirect taxation - domestic (Income Tax, GST) and international (transfer pricing, withholding taxes, DTAAs).
- Establish and embed an enterprise risk management (ERM) framework covering financial, operational, regulatory, and geopolitical risks.
4. Mergers, Acquisitions & Post-Acquisition Integration :
- Deal origination & screening : Partner with the Group CEO and business leadership to identify, evaluate, and prioritise acquisition targets, technology tie-ups, and strategic partnerships aligned with the Company's global specialty chemicals growth roadmap.
- Financial due diligence : Lead and coordinate buy-side financial, tax, and commercial due diligence - assessing target quality of earnings, working capital normalisation, off-balance sheet liabilities, contingent exposures, and regulatory risks across jurisdictions.
- Valuation & deal structuring : Drive valuation frameworks (DCF, comparable company analysis, precedent transactions) and structure deal economics including earn-outs, deferred consideration, escrow arrangements, and representations & warranties - balancing value creation with risk mitigation.
- Financing strategy : Design the optimal capital structure for each transaction, evaluating debt financing (domestic and cross-border), equity dilution, and use of IPO proceeds where applicable, in close coordination with investment bankers and lenders.
- Regulatory & FEMA compliance : Ensure all transactions are structured in full compliance with FEMA regulations, RBI approvals, Competition Commission of India (CCI) notifications, and overseas direct investment (ODI) guidelines for cross-border acquisitions.
- SPA negotiation & closing : Actively participate in Share Purchase Agreement (SPA) and transaction document negotiations alongside legal teams, providing financial inputs on representations, warranties, conditions precedent, and closing mechanics.
- Post-acquisition integration - finance workstream : Own and drive the finance integration workstream post-closing, encompassing accounting system migration, chart of accounts harmonisation, consolidation framework alignment including pro-forma financial statements, purchase price allocation (PPA) accounting under Ind AS 103 and treasury / banking integration within defined timelines.
5. IPO Leadership & Capital Markets :
- Lead and own the end-to-end IPO process - DRHP preparation, SEBI filings, roadshows, anchor investor meetings, and listing formalities.
- Engage and manage investment bankers, legal counsels, auditors, registrars, and other transaction advisors.
- Develop the equity story and investor presentation in alignment with strategic business objectives.
- Oversee pre-IPO structuring, valuation benchmarking, and promoter / PE exit planning if applicable.
- Ensure readiness for compliance with SEBI LODR, Companies Act 2013, and all listing obligations post-IPO.
6. Investor Relations & Governance :
- Build and manage the Investor Relations function from the ground up, acting as the primary interface for institutional investors, analysts, and research houses post-IPO.

- Participate actively in Board, Audit Committee, and Risk Committee meetings; provide insightful financial reporting and guidance.
- Drive ESG/sustainability reporting integration into financial disclosures as required by SEBI's BRSR framework.
- Ensure robust related-party transaction governance and promoter shareholding compliance.
7. Systems, Technology & Process Excellence :
- Upgrade and standardise financial systems (ERP - SAP/Oracle), MIS, and internal reporting infrastructure to listed-company standards, dashboards for real-time business intelligence.
JOB SPECIFICATION :
- Chartered Accountant (ICAI) CS would be added advantage
- 13 - 25 years of experience with last 5 years at CFO/Head of Finance role.
- Prior knowledge of IPO execution or capital market transaction.
- Earlier worked with a public listed company
- Erudite professional to frame policies, systems and processes as per listed company requirements.
- Deep understanding of speciality chemicals, manufacturing, or process industries - preferred; adjacent industries (pharma, agrochemicals, FMCG) considered.
- Strong command of Ind AS / IFRS and SEBI regulatory environment.
- Hands-on experience with DRHP preparation, SEBI interactions, and investment banker management. Knowledge of global financial regulations and laws.
