We have an exciting opportunity for you to join our team as Client Service Delivery - Legal. Reporting to the General Counsel- India and Mauritius this full-time and permanent position is based in Mumbai, India and offers regional coverage, allowing you to make a significant impact to our legal and its growth.
Key responsibilities:
- Drafting and vetting of transaction documents (DT documents, escrow agreement, deed of pledge, deed of guarantee) and providing advisory support.
- Calling and examining reports from clients as per documentation
- Would be required to follow up and monitor transactions on a daily basis with clients.
- Property verification including title reports, valuation etc.
- Ensure compliances of conditions precedents for loan disbursements.
- Prepare reports with respect to compliances and legal as per agreed documentation.
- Understanding the structure of the transaction and obtaining the coordinates of the clients and follow up required if any.
- For briefing the other team about the transaction and the necessary monitoring and operations required pre execution as well as post execution.
- Internal coordination with other teams related to transactions
- Structuring, drafting and negotiations on trust formation, Debentures Trust Deed, offer documents, securities issues, subscription agreement and corresponding security documents, such as mortgage, hypothecation, guarantee etc.
- Drafting, negotiating and finalization of financing agreements, vetting of contracts and commercial contracts and corresponding security documents.
- Experience in due diligence, ROC search, ensuring regulatory compliance, title reports, valuation.
- Coordinating with external law firms for drafting and closure of multi-jurisdiction contracts.
- Ensure compliances of conditions precedents for loan disbursements, ensuring that checklist documents are in place.
- Appear, and coordinating with external law firms on litigation and enforcement matters (Section 138 matters, SARFESI, IBC, amongst others).
- Preparing note for obtaining legal opinion from external agencies, issuing your opinions to internal teams, closure reports of transactions.
- Regulatory and compliance MIS.
- Knowledge of AIF will be an added advantage
Key requirements:
- Minimum 7-10 years working experience in legal and capital market structuring.
- Proven track record in driving organic growth through increasing revenue existing client bases while expanding portfolio through new additions.
- Direct operational experience in jurisdictions with multiple Divisional lines
- Strong track record in acting as a partner to senior management
- Experience in change management; from idea inception to fully implementing changes proposed would be a distinct advantage
- Bachelors degree in Law / Masters degree in Law
- Strong team-player with experience with working in a dynamic organisation and able to build bridges between the different stakeholders within the organisation
- Strong leadership skills and ability to effectively
- Ability to think outside of the box, to challenge status quo, but to do so diplomatically and collaborative manner
- Strong communication and influencing skills; collaborative and a team player
- Culturally sensitive and experienced in dealing with multiple nationalities, business cultures
- Ability to deal with ambiguities and work within ill-defined boundaries
- People management and retention of critical talent in legal team
- Improving turnaround time and automation of processes including ensuing 0 liability towards transaction

About Company
Vistara is a joint venture of Tata Sons Private Limited and Singapore Airlines Limited (SIA), wherein Tata Sons holds a 51% stake in the partnership and Singapore Airlines owns a 49% stake. The company is registered as TATA SIA Airlines Limited. In 2013, two legendary brands, Tata Sons and Singapore Airlines decided to fulfil a long-cherished shared dream to bring forth a distinguished flying experience to air travellers in India.
With its strong historical ties with aviation, the Tata group had long wished to re-enter the aviation sector, after Tata Airlines was renamed Air India and eventually, nationalised. Both, the Tata group and Singapore Airlines were also firm believers in the growth potential of the Indian aviation sector and hence tried to enter the market in the past; first, in 1994 by setting up a joint venture to start an airline in India and then in 2000, teaming up to purchase stakes in Air India.

On November 5, 2013, Vistara’s holding company, TATA SIA Airlines Limited, was incorporated. The common goal of the joint venture is to redefine air travel in India to provide Indian travellers with a seamless and personalized flying experience that blends Tata’s and SIA’s service excellence and legendary hospitality.
The brand name ‘Vistara’ is derived from the Sanskrit word ‘Vistaar’ which means ‘a limitless expanse’. The name Vistara draws inspiration from the world that Vistara inhabits, viz. the ‘limitless’ sky. The brand also draws stimulus from the image that passengers most associate with a smooth and enjoyable flight – the endless, blue horizon they see through the windows of an aircraft.
As it aims to transform the flying experience of travellers in India, Vistara christens its brand tagline as ‘fly the new feeling’. On January 9, 2015, Vistara started its operations with a maiden flight from Delhi to Mumbai. In a short span of time, Vistara has rapidly expanded its footprint, both in terms of network and service proposition.
Vistara now serves 33 destinations with over 200 flights daily operated by a fleet of 26 Airbus A320 and 9 Boeing 737-800NG aircraft. Vistara has already flown more than 15 million happy customers since starting operations
