Company Secretary

Job Overview: We are seeking an experienced Company Secretary to oversee corporate governance, compliance, and legal affairs for our organization. The ideal candidate will ensure adherence to corporate laws, manage shareholder communications, and coordinate with internal teams and external regulators.

• Advise Senior Partner on compliance and secretarial matters.
• Ensure event-based and annual compliance with Companies Act, 2013, Secretarial Standards, and other relevant laws.
• Oversee financial statement verification, statutory audits, and handle auditor queries.
• Draft and review corporate documents (agreements, policies, resolutions, minutes, etc.).
• Organize meetings, AGMs, and other corporate events (including hybrid and paperless formats).
• Manage ESOP/ESPS compliance under SEBI regulations and shareholder grievance resolution.
• Ensure compliance with RBI/FEMA regulations, listing requirements, and related party transactions.
• Oversee mergers, buy-backs, and corporate restructuring activities.
• Prepare corporate reports (Directors' Report, Corporate Governance, Annual Report).
• Liaise with external stakeholders (stock exchanges, RBI, auditors) and maintain statutory registers.
• Ensure compliance with dividend distribution, share transfers, and IEPF-related actions.
