Role Overview:

We are hiring an accomplished, entrepreneurial and commercially driven CEO / Head of Merchant Banking for a growing merchant banking and investment banking advisory firm.

The incumbent will be responsible for building and scaling the merchant banking franchise, driving deal origination and revenue generation, managing overall business P&L, leading transaction execution and building a high-performing team.

This leadership position requires a strong combination of business development capabilities, established corporate and investor relationships, capital markets expertise and hands-on transaction experience.

Key Responsibilities:

1. Business Strategy, Growth & P&L Management:

• Lead and scale the merchant banking business with complete ownership of revenue, profitability and P&L.
• Develop and execute business strategies to drive sustainable growth and market expansion.
• Build a strong pipeline of merchant banking and investment banking mandates.
• Identify new business opportunities, strategic partnerships and revenue streams.
• Drive business planning, revenue targets and overall franchise development.

2. Deal Origination & Revenue Generation:

• Independently originate, negotiate and close IPO, ECM and merchant banking mandates.
• Drive client acquisition and mandate generation across Mainboard IPOs, SME IPOs, QIPs, rights issues, private placements and other capital market transactions.
• Leverage established relationships with corporate promoters, institutional investors, PE funds, family offices and intermediaries.
• Build a sustainable pipeline of transactions and long-term corporate relationships.
• Drive fee income, transaction closures and repeat business.

3. Merchant Banking & Transaction Execution:

• Lead and oversee end-to-end execution of IPOs and equity capital market transactions.
• Supervise transaction structuring, valuations, due diligence, offer documentation and regulatory filings.
• Coordinate with SEBI, stock exchanges, legal advisors, auditors and other intermediaries.
• Ensure timely transaction execution, regulatory compliance and high-quality client delivery.

4. Investment Banking & Corporate Advisory:

• Originate and develop opportunities across M&A advisory, private equity fundraising, debt capital markets and structured finance.
• Advise corporate clients on capital raising, strategic transactions and growth opportunities.
• Strengthen relationships with institutional investors, PE/VC funds, family offices and other capital providers.

5. Franchise Building & Team Leadership:

• Build, mentor and lead a high-performing team across origination, execution and advisory.
• Establish business development processes, revenue targets and performance metrics.
• Strengthen market positioning, client relationships and institutional credibility.
• Foster an entrepreneurial, performance-driven and execution-focused culture.

6. Regulatory Governance & Compliance:

• Ensure compliance with applicable SEBI regulations and capital market guidelines.
• Oversee transaction governance, regulatory due diligence and risk management.
• Maintain high standards of corporate governance, transparency and professional ethics.

Candidate Profile:

• 15 - 20+ years of experience in Merchant Banking, Investment Banking or Equity Capital Markets.
• Currently working in a senior leadership role such as CEO, Managing Director, President, Business Head, Head of Merchant Banking or Head of ECM.
• Strong background in a merchant banking firm, investment bank or capital markets advisory organization.
• Proven track record of independent deal origination, IPO / ECM mandate acquisition, revenue generation and successful transaction closures.
• Demonstrated experience in business P&L ownership, revenue growth and franchise development.
• Established relationships with corporate promoters, institutional investors, PE funds, family offices and capital market intermediaries.
• Strong understanding of IPO processes, merchant banking regulations and the Indian capital markets ecosystem.
• Experience in building and leading investment banking teams.
• CA / MBA (Finance) / CFA or equivalent relevant qualification preferred.

The ideal candidate should possess the ability to independently build, lead and scale a profitable merchant banking franchise, combining strategic business leadership with strong deal origination and execution capabilities.

Preference will be given to professionals with proven P&L ownership, substantial revenue generation, strong IPO / ECM origination experience and a demonstrated ability to build businesses from the ground up.
