Job Title: Legal Negotiator, NCT/Associate

Location: Mumbai, India


Role Description

About the Team:

  • The Regional Office Legal team in Mumbai is a highly skilled team of legal professionals dedicated to providing specialized expertise in derivative documentation and transactional legal support.
  • The team supports various businesses within Deutsche Bank Group, operating across the Asia-Pacific (APAC), European Union (EU), and United States (US) regions.

Role Overview:

As a Legal Negotiator, you will deliver legal support for financial product transactions conducted by Deutsche Bank Group worldwide, focusing on fund addition documentation in collaboration with fund managers.

A major part of your responsibilities will involve drafting, reviewing, and negotiating contracts and related documents for these fund additions.

The position requires you to work closely with front office teams, internal stakeholders, and Deutsche Bank Groups diverse client network.

You will be responsible for managing the legal documentation process, ensuring efficient workflows, and upholding exceptional standards of client service.

Your key responsibilities

  • Manage fund additions under umbrella/master agreements, ensuring accurate setup, documentation, and timely completion. Review key terms of master agreements to ensure alignment or enhancement required to the agreement and facilitate required amendments for fund additions, if any.
  • Conducting due diligence on new / existing underlying principals to including review of offering documents, legal agreements and operating structure.
  • Perform netting reviews in accordance with internal policies and regulatory standards.
  • Assist in the development of processes that streamline the addition of underlying principals to umbrella / master agreements.
  • Liaise with internal teams—including front office, risk, compliance, and business divisions—to address risk issues, deviations, and queries related to umbrella / master agreements. Facilitate clear communication and timely resolution of legal matters.
  • Build and maintain strong relationships with internal and external clients, understanding their business needs and operations.
  • Ensure compliance with business, and regulatory requirements.
  • Stay updated on legal and regulatory developments impacting umbrella / master agreements and fund onboarding.

Your skills and experience

  • Law degree or Commonwealth-qualified lawyer/solicitor.
  • Senior Analyst: 2 – 5 years post-qualification experience (PQE).

  • Associate: 5.5 – 8 years PQE.
  • Experience must include drafting and negotiating financial product agreements or commercial contracts.
  • Expertise in fund documentation and fund structures across multiple jurisdictions is essential.
  • Experience in derivative documentation is advantageous.
  • Ability to produce clear, precise, and comprehensive legal documents. Candidates must demonstrate meticulous attention to detail, ensuring accuracy and compliance with regulatory and business standards.
  • Capacity to analyze complex legal and business issues, identify risks, and propose practical solutions. A proactive mindset in resolving challenges and facilitating transactions is essential.
  • Excellent interpersonal and communication skills.
  • Demonstrated capability to manage tasks autonomously, while also contributing effectively within a team environment. Flexibility to adapt to changing priorities and work collaboratively across departments and regions.
  • Confidence and competence in interpreting intricate legal agreements, constitutional documents, and regulatory materials.
  • Strong organizational skills to multitask, prioritize effectively, and deliver high-quality work under tight deadlines.
