Head - Legal Counsel & Company Secretary - FinTech

POSITION SUMMARY:

A strategic Legal, Contracts and Company Secretarial leader with deep FinTech and RBI regulatory expertise, responsible for driving legal governance, corporate compliance and statutory oversight across India, MEA, Singapore and Australia.

The role combines legal advisory, contracts, corporate governance, board and secretarial responsibilities with a strong mandate to transform Legal into a technology-enabled, AI-driven function through automation, intelligent workflows and emerging LegalTech solutions.

As a strategic business partner, the role will provide commercially focused legal counsel that enables growth, innovation and informed decision-making while proactively managing legal and regulatory risk.

The incumbent will also represent the organisation across FinTech industry forums, conferences, regulatory and professional platforms, contributing to industry dialogue, building strategic relationships and enhancing the organisation's visibility and credibility within the FinTech sector.

Business and Industry Leadership:

• Act as a strategic business contributor, providing commercially focused legal counsel.
• Represent the organisation at FinTech forums, regulatory platforms, industry associations and external stakeholder forums.

AI and Legal Transformation:

• Drive adoption of AI, LegalTech and workflow automation across legal, contracts, compliance and secretarial processes, including AI-powered contract review, regulatory tracking, research and filings, with appropriate governance and human oversight.

RBI and FinTech Regulatory Compliance:

• Own RBI and applicable FinTech regulatory compliance, including PA, PPI, NBFC and other relevant regulations, covering filings, audits, inspections, reporting and regulatory engagements.

Multi-Jurisdiction Compliance:

• Oversee statutory and regulatory compliance across India, MEA, Singapore and Australia, working with local counsel and relevant regulatory authorities.

Legal and Contracts:

• Lead legal advisory, contract lifecycle management, commercial negotiations and dispute management, ensuring business-aligned, compliant and risk-managed outcomes.

Corporate Governance and Secretarial:

• Lead Company Secretarial responsibilities, including Board and Committee governance, ROC filings, statutory registers, resolutions and corporate secretarial compliance.

Legal Risk and Governance:

• Identify, assess and proactively mitigate legal, contractual and regulatory risks; establish appropriate policies, controls and escalation mechanisms.

Team Leadership:

• Lead, mentor and develop the Legal and Contracts team, establish clear KRAs/SLAs and build a high-performing, technology-enabled Legal function.
