Recruitment Mantra Hiring Chartered Accountant for IPO Role at Affinity Global Services Pvt. Ltd.

We are seeking a highly skilled and detail-oriented Chartered Accountant (CA) with strong experience in IPO-related services. The ideal candidate will play a critical role in preparing the company for its Initial Public Offering (IPO), ensuring that all financial, regulatory, and compliance requirements are met efficiently and accurately. The candidate must possess strong technical knowledge, financial acumen, and the ability to work collaboratively with internal and external stakeholders including investment bankers, legal advisors, auditors, and regulatory bodies.

Key Responsibilities:

1. Financial Due Diligence:

• Conduct comprehensive financial analysis and due diligence of the companys historical and projected financials.
• Identify potential financial risks and recommend corrective actions.

1. Preparation and Audit of Financial Statements:

• Prepare and/or review audited financial statements in compliance with applicable accounting standards (Ind AS, IFRS, Indian GAAP).
• Ensure restatement of past financials if required for IPO purposes.

1. Valuation and Financial Structuring:

• Assist in determining the optimal capital structure and valuation methodologies.
• Work closely with financial advisors and investment bankers on valuation models.

1. Drafting of IPO Prospectus (DRHP/RHP):

• Contribute to the drafting and review of the Draft Red Herring Prospectus (DRHP) and Red Herring Prospectus (RHP).
• Ensure accuracy and compliance of financial disclosures in the prospectus.

1. Tax Compliance and Planning:

• Provide guidance on direct and indirect tax matters related to IPO.
• Ensure tax structuring is optimized and compliant with relevant laws.

1. Regulatory Compliance and Filings:

• Ensure timely and accurate filing of documents with SEBI, ROC, and stock exchanges.
• Stay updated with SEBI guidelines, Companies Act, and other relevant regulations.

1. Corporate Governance and Financial Reporting:

• Support the implementation of governance structures and financial controls as per listing requirements.
• Ensure transparent financial reporting aligned with regulatory expectations.

1. Preparation of Shareholding Pattern:

• Compile and verify the pre- and post-issue shareholding structure.
• Coordinate with registrars and transfer agents for data validation.

1. Coordination with External Stakeholders:

• Liaise with underwriters, legal advisors, auditors, credit rating agencies, and other stakeholders throughout the IPO process.

1. Post-IPO Responsibilities:

• Support post-listing compliance, reporting, and investor relations.
• Monitor use of IPO proceeds and report as per regulatory norms.

Skills and Expertise Required:

• Accounting Standards: Proficiency in Indian GAAP, Ind AS, IFRS.
• Tax Knowledge: Strong understanding of corporate taxation and IPO-related tax implications.

• Regulatory Compliance: Deep knowledge of SEBI regulations, Companies Act, FEMA, and other related frameworks.
• Attention to Detail: High level of accuracy in preparing and reviewing financial documents.
• Communication Skills: Excellent verbal and written communication skills; ability to interact effectively with multiple stakeholders.

Qualifications:

• Chartered Accountant (CA) qualified from ICAI.
• 37 years of relevant experience in audit, financial reporting, taxation, or IPO advisory.
• Experience with at least one completed IPO (preferred).

Compensation:

• Salary: Based on current CTC, qualifications, and experience.
• Incentives: May be offered based on project milestones or IPO success.

Work Schedule:

• Monday to Friday: 10:00 AM to 7:00 PM
• Saturday: 10:00 AM to 6:00 PM
• Off: 4th Saturday of every month and all Sundays
