Senior Role - International Contracts - Legal & Taxation - AMDEC Contracts & Commercial Department

Position: International Contracts, Legal & Taxation professional under AMDEC Contracts & Commercial department.

Key Responsibilities:

International Contract Management:

• Draft, review, negotiate, and administer international commercial contracts, EPC/EPCM agreements, service contracts, technology licensing agreements, consortium agreements, and JV contracts.
• Ensure contractual terms comply with applicable international laws and local regulations.
• Advise management on contractual risks, liabilities, dispute resolution mechanisms and mitigation strategies.
• Manage contract negotiations with clients, suppliers, consultants, and partners across multiple jurisdictions.

International Legal Compliance:

• Interpret and advise on international trade laws, sanctions, export control regulations, anti-corruption laws, and data privacy regulations.
• Ensure compliance with applicable laws in countries where the organization operates.
• Coordinate with external legal counsel on cross-border legal matters and disputes.
• Support corporate governance and regulatory compliance initiatives.

International Taxation:

• Advise on cross-border taxation, WHT, transfer pricing, PE risks and DTAA.
• Evaluate tax implications of international contracts and business structures.
• Coordinate with finance to optimize tax efficiency while ensuring compliance.
• Monitor changes in international tax regulations and assess business impact.

Risk Management:

• Identify legal, commercial, tax and compliance risks associated with international projects and transactions.
• Develop risk mitigation strategies and contractual safeguards.

Commercial & Business Support:

• Participate in bid reviews, contract strategy development, and commercial negotiations.
• Advise project teams on contractual obligations, variations, claims, and payment terms.
• Support management in decision-making on international business expansion and partnerships.

Required Qualifications:

• Degree in Law, Commerce, Finance, or Business Administration or International Business Law, International Taxation, Corporate Law, or equivalent preferred.
• Professional certifications in International Trade, or Taxation are advantageous.

Experience:

• 15+ years of experience in international contracting, legal compliance, and taxation.
• Strong exposure to EPC/EPCM projects, engineering, steel.
• Proven experience handling multinational contracts and cross-border transactions.
