Job Description
Looking for candidates for the position of Company Secretary in Wipro Enterprises group.
Role Purpose:
To ensure robust corporate governance and compliance across Wipro Enterprises and its subsidiaries, supporting board and committee operations, statutory filings, and strategic initiatives such as mergers, acquisitions, and CSR compliance.
Key Responsibilities:
1. Corporate Governance & Compliance
- Ensure compliance with Companies Act, FEMA (ODI/FDI), SEBI (where applicable), and other regulatory requirements across group entities.
- Maintain statutory registers, corporate records, and compliance trackers
- Handle filings and submissions with ROC, MCA, RBI and other authorities.
2. Board & Committee Management
- Plan and coordinate Board / Committee meetings (agenda, notes, presentations).
- Draft and finalise minutes, resolutions and action trackers.
- Support conduct of AGMs / EGMs and shareholder communications.
3. Corporate Actions & Transactions
- Support M&A, restructuring, incorporations, liquidation and due diligence.
- Assist in capital structuring, inter-company funding and investments.
- Facilitate internal and external audits related to secretarial matters.
4. Insurance Management (Critical Role Component)
Manage Group-wide Insurance Portfolio, including:
- Directors & Officers (D&O)
- General Liability / Product Liability
- Cyber / Professional Indemnity
- EPLI, Crime, Product Recall, etc.
- Drive policy renewals, placements, endorsements, and claims coordination.

- Monitor coverage, limits, exclusions and renewal timelines.
- Liaise with brokers, insurers, finance and legal teams for risk assessment.
- Facilitate internal and external audits related to secretarial matters.
Skills & Competencies
- Strong knowledge of corporate laws, governance standards, and compliance frameworks.
- Excellent drafting and communication skills for minutes, resolutions, and regulatory filings.
- Ability to manage multiple entities and complex transactions globally.
- Proficiency in MS Office and secretarial software tools.
Educational Qualification
- Company Secretary (CS) qualification
- 5-6 years of experience in corporate secretarial roles.
