Job Description
- Role Overview:
As a Company Secretary and Lawyer, you will be responsible for meeting management, regulatory compliance, statutory records maintenance, corporate filings, stakeholder communication, governance advice, document drafting, legal review, legal counsel provision, regulatory interaction, dispute resolution, strategic legal and governance advice, Mergers & Acquisitions (M&A) assistance, and upholding strict confidentiality. Your role will involve providing crucial legal and governance support to the company.
Key Responsibilities:
- Organize and attend board, committee, and annual general meetings (AGMs), preparing agendas, minutes, and follow-up actions.
- Ensure the company adheres to the Companies Act, other regulations, and corporate governance guidelines, including filing necessary forms and annual returns.
- Maintain statutory books, registers of members, directors, and secretaries.
- Prepare and file various forms and documents with regulatory authorities like the Registrar of Companies (ROC) and the Ministry of Corporate Affairs (MCA).
- Act as a point of contact for shareholders, stakeholders, and regulatory bodies.
- Advise the board of directors on corporate governance best practices and legal responsibilities.
- Draft, review, and negotiate a wide range of legal documents, including agreements, deeds, and contracts.
- Review contracts, leases, non-disclosure agreements (NDAs), and other legal documents for compliance and risk.
- Provide legal advice to the company on business transactions, contracts, and regulatory matters.
- Liaise with external legal counsel, regulators, and other legal consultants for due diligence and legal matters.

- Provide strategic advice to the board on corporate governance, legal risks, and the implications of changes in corporate law and regulations.
- Assist with the due diligence and legal documentation required for M&A transactions and other corporate actions.
Qualifications Required:
- Total of 5 years of experience preferred.
- Proficiency in English preferred.
