Role Overview:
The Company Secretary will serve as the primary custodian of corporate governance and regulatory compliance, ensuring the organization adheres to the highest standards of legal and ethical conduct. You will work closely with the Board of Directors, senior leadership, and external regulatory bodies to navigate the complex legal landscape of the NBFC sector. This role is pivotal in managing corporate secretarial functions, facilitating board processes, and providing strategic counsel to management to mitigate risks and ensure seamless operational transparency across the organization.
Key Responsibilities:
- Manage the end-to-end secretarial compliance for the company, ensuring strict adherence to the Companies Act, RBI regulations, and other applicable corporate laws to maintain the organization's good standing.
- Facilitate board and committee meetings by preparing agendas, drafting minutes, and tracking action items to ensure effective governance and decision-making by the leadership team.
- Oversee the maintenance of statutory registers, filing of returns with the Registrar of Companies (ROC), and management of corporate records to ensure data integrity and regulatory readiness.
- Provide expert legal and secretarial advice to the Board and senior management regarding corporate restructuring, capital raising, and policy formulation to support business objectives.
- Coordinate with internal and external auditors, legal counsel, and regulatory authorities to manage inspections, audits, and compliance disclosures efficiently.
- Monitor changes in the regulatory environment, particularly concerning NBFC operations, and implement necessary updates to internal policies to proactively address compliance risks.

- Possess an in-depth understanding of the Companies Act, 2013, SEBI regulations, and RBI guidelines governing NBFCs, with the ability to translate complex legal requirements into actionable business processes.
- Demonstrate strong proficiency in corporate governance frameworks and board management, with a proven track record of managing high-level stakeholder relationships.
- Exhibit exceptional drafting and communication skills, essential for preparing board papers, legal documents, and correspondence with regulatory bodies.
- Maintain a high degree of professional integrity and attention to detail, ensuring accuracy in all statutory filings and corporate disclosures.
- Hold a qualified Company Secretary (CS) certification from the ICSI, supplemented by a degree in Law (LLB) which is highly preferred for this function.
- Showcase the ability to work effectively in a fast-paced, on-site environment in Mumbai, collaborating across departments to foster a culture of compliance and accountability.
- Bring 8 - 10 years of relevant experience in a secretarial role, preferably within the financial services or NBFC sector, demonstrating a deep understanding of the regulatory challenges specific to the industry.
