Role Overview:
The selected candidate shall work with the Transaction Advisory Services division of Dewan P. N. Chopra & Co. on valuation assignments, financial modelling, financial analysis and company/industry research; preparation of valuation reports; and supporting other Transaction Advisory assignments including Investment Banking, M&A.

Key Service Offerings at DPNC Advisors:
- Raising capital including equity and structured Investments through PE and VC funds, Financial Institutions, Family Offices, HNI etc.
- Advising on buy side/sell side/joint venture mandates for corporate and start-ups across sectors in and outside India.
- Advising on placement of private capital as financial or strategic investments for Family offices, and HNIs.
- Assisting and advising the client on commercial negotiations and documentation including LOI's, Term sheets and Definitive Agreements.
- Providing transaction support services including due diligence, valuation, financial projections, feasibility studies, preparing business plan, preparing pitch books, information memorandum etc.
Key Responsibility Areas (KRA's):
Keeping in view the key Service Offerings, the candidate shall primarily be responsible for assisting in and executing valuation and financial modelling assignments, while also supporting the broader Transaction Advisory team on assignments relating to Investment Banking, M&A, and other financial advisory mandates.
Valuation & Financial Modelling - Primary Responsibility:
- Assisting in and independently executing valuation assignments using appropriate valuation methodologies based on the nature, purpose and circumstances of each assignment.
- Performing valuations using methodologies including Discounted Cash Flow (DCF), Comparable Company Analysis / Market Approach, Precedent Transactions, Net Asset Value (NAV), Sum-of-the-Parts (SOTP), Asset Approach and other appropriate valuation methodologies.
- Building financial models from scratch, including integrated three-statement models, revenue and cost build-ups, working capital, capex, debt schedules and cash flow projections.
- Preparing FCFF / FCFE based valuation models, including calculation of WACC, cost of equity, cost of debt, beta, terminal value and sensitivity analysis.


- Analyzing and evaluating management projections, assumptions and business plans and assessing their reasonableness for valuation purposes.
- Performing financial modelling, scenario analysis, sensitivity analysis and other quantitative analysis required for valuation assignments.
- Preparing valuation reports, valuation summaries, supporting schedules and valuation workpapers.
- Applying relevant valuation standards and regulatory requirements, including ICAI Valuation Standards, International Valuation Standards (IVS) and applicable Companies Act, SEBI, FEMA/RBI and other requirements, as relevant to the assignment.
- Documenting the valuation purpose, valuation date, basis of value, methodology adopted, key assumptions, data sources, limitations and valuation conclusion.
- Supporting valuation of businesses, equity interests and securities / financial instruments, including preference shares, convertible instruments and other securities, where applicable.
Financial Analysis & Research for IB & M&A:
- Assisting with industry and company research across Investment Banking, M&A.
- Conducting detailed financial analysis of companies, including historical financial statements, revenue growth, margins, profitability, working capital, capex, leverage, cash flows and key financial ratios.
- Analysing management-provided financial information, projections, budgets and business plans and identifying key issues, trends, inconsistencies and key business drivers.
- Performing peer benchmarking and analysis of relevant industry, operating and financial metrics, including comparable companies and transaction precedents, to support valuation and other advisory assignments.
- Conducting research on industries, companies, competitors, market trends, potential transactions and relevant comparable companies and transactions.
- Supporting preparation of Teasers, Information Memorandums, Business Plans, pitch decks and other presentations, as required.
- Supporting the team in developing research frameworks, financial analyses and other analytical outputs based on the specific requirements of different mandates.
To qualify for this role, you must have:
Requisite Qualification: Chartered Accountant / CFA + MBA / MBA (Fin) from reputed Business School.
Requisite Experience: 0-3 years of post-qualification experience in valuation, financial modelling and preparation of valuation reports. Experience in Transaction Advisory, Investment Banking, Private Equity/VC, Corporate Finance or related fields will be preferred.

Requisite Skills & Attributes for Success:
We seek a candidate with in-depth experience in the above services. Preference shall be given to candidates who possess:
- Independently built complex financial models from scratch and prepared valuation reports.
- Strong practical understanding of valuation methodologies, including DCF, Comparable Company Analysis, Precedent Transactions, NAV, SOTP and other relevant approaches.
- Strong understanding of WACC, cost of equity, cost of debt, beta, terminal value, capital structure and valuation multiples.
- Understanding of applicable valuation standards, including ICAI Valuation Standards and International Valuation Standards (IVS), and relevant regulatory requirements will be preferred.
- Ability to understand the purpose and nature of a valuation assignment and select / support the selection of an appropriate valuation methodology.
- Ability to critically evaluate management projections, assumptions and financial models rather than relying solely on management-provided numbers.
- Excellent analytical and numerical skills. Well versed with MS Excel, PowerPoint and Word.
- Advanced MS Excel skills with demonstrated ability to build financial models from scratch and perform scenario and sensitivity analysis.
- Good communication and presentation skills.
- High degree of self-motivation and desire to learn.
- Strong willingness and ability to learn and adapt to different research methodologies, analytical frameworks and financial analysis requirements across valuation, Investment Banking, M&A.
