About the Role

We are seeking a highly experienced and qualified Company Secretary to lead corporate governance, regulatory compliance, and secretarial functions. The ideal candidate will bring a robust understanding of Companies Act, SEBI regulations, FEMA, and corporate legal advisory, with a proven track record in handling Board and Committee matters, statutory filings, and cross-functional collaboration.

Key Responsibilities

1) Company Secretarial Functions:

• Ensure timely and accurate preparation of Board, Committee, and General Meeting agendas, minutes, and resolutions.
• Maintain statutory registers, filings, and records in compliance with the Companies Act, 2013 and Secretarial Standards.
• 
  Manage annual filings and compliance with the Registrar of Companies (RoC), MCA, and other regulatory bodies.

2) Corporate Governance & Compliance:

• Liaise with regulators including SEBI, RBI, MCA, and Stock Exchanges.
• Conduct internal compliance audits and support statutory and secretarial audits.

3) Stakeholder Management:

• Act as a key interface between management and the Board of Directors.
• Facilitate effective communication with shareholders, auditors, and regulators.

4) Strategic Projects:

• Support in M&A, fundraising, corporate restructuring, and business expansion initiatives.
• Lead implementation of compliance tools, policies, and training programs.
