Company Secretary
Reporting To
Managing Director / Board of Directors
Role Overview
The Company Secretary will be responsible for ensuring compliance with statutory, regulatory, and corporate governance requirements applicable to a machine tool manufacturing company. The role involves advising the Board, managing corporate records, coordinating Board and Committee meetings, and ensuring adherence to Companies Act, SEBI regulations (if applicable), and other applicable laws.
Key Responsibilities
1. Corporate Governance & Compliance
- Ensure compliance with the Companies Act, 2013 and other applicable corporate laws.
- Advise the Board of Directors on corporate governance best practices.
- Ensure timely filing of statutory returns, forms, and disclosures with MCA, ROC, and other regulatory authorities.
- Monitor changes in legislation relevant to manufacturing and industrial companies and ensure implementation.
2. Board & Committee Management
- Organize and coordinate Board Meetings, Annual General Meetings (AGMs), Extraordinary General Meetings (EGMs), and Committee meetings.
- Prepare agendas, notices, minutes, and resolutions for Board and Committee meetings.
- Maintain statutory registers, minutes books, and company records.
- Facilitate effective communication between management and the Board.
3. Legal & Regulatory Liaison
- Act as a key point of contact with regulators, legal advisors, auditors, and consultants.
- Support compliance with SEBI regulations (if listed), FEMA, RBI, and other applicable laws.
- Assist in drafting, reviewing, and vetting contracts, agreements, and legal documents.
4. Secretarial Audit & Documentation
- Conduct and coordinate secretarial audits and internal compliance audits.
- Ensure proper documentation and record-keeping of corporate and legal documents.
- Support statutory and internal audits by providing required records and information.
5. Corporate Restructuring & Advisory
- Assist in mergers, acquisitions, joint ventures, restructuring, and expansion projects.
- Handle share issuance, transfers, dividends, and related compliance.
- Advise management on risk management and compliance-related matters.
6. Industry-Specific Compliance (Machine Tool Sector)
- Support compliance related to industrial regulations, manufacturing licenses, and approvals.
- Coordinate with internal teams for compliance related to factory laws, labor laws, and environmental regulations (as applicable).
- Ensure alignment of corporate governance practices with operational and manufacturing requirements.
Key Skills & Competencies
- Strong knowledge of Companies Act, 2013 and corporate laws.
- Understanding of manufacturing and industrial regulatory environment.
- Excellent drafting, documentation, and communication skills.
- High level of integrity, confidentiality, and professionalism.
- Ability to work closely with senior management and Board members.
Educational Qualifications
- Member of the Institute of Company Secretaries of India (ICSI).
- Bachelors degree in Commerce, Law, or related field (preferred).
Experience
- 4-8 years of relevant experience as a Company Secretary, preferably in a manufacturing or engineering company.
- Experience in machine tools, heavy engineering, or industrial manufacturing will be an added advantage.
