Job Description
Role & responsibilities
Contracts
- Maintain an exhaustive Contract database ensuring the updated record of commercial liabilities and entitlements of the company.
- Monitor renewals of commercial contracts and liaise with internal clients for its timely and effective execution.
- Help legal head Identifying typical commercial transactions of the company and participate in drafting standardized template for the same.
- Conduct preliminary vetting of commercial agreements to highlight deviations from Standard Terms.
Contract Management of L&L Agreement:
- Keep track of owners contractual / statutory obligations and update our record in this regard (ex:- renewal of lift license, payment of municipal taxes, Fire NOC)
- Communicate with owners in case of any encumbrances like over-due loan repayment, GST challans, municipal notices
Property Due Diligence and compliance:
- Conducting research on municipal provisions applicable to the intended purpose of usage of the property.
- Verifying the documents received from owner.
- Liaising with owners to get the appropriate documents/get additional documents (affidavits / undertakings) executed in absence of some documents.
- Working with GTCMS to incorporate a module in this regard and keep track of it over tool.
Leave and License / Lease Agreements:
- Providing Agreements with alterations in view of each locations.
- Incorporating the specific points from legal DD in agreement.
- Discussing internally to assess if any compliance matrix be mentioned in view of available documents.
- Negotiating such legal clauses with owners.
- Amending Agreements (or other documents) for additional space / NOC for adds / change in owners (due to death, sale, transfer etc.)
Litigation
- Maintain a robust litigation tracker.
- Seek instructions internally on crucial stages of litigation.
- Keeping internal litigation record updated with documents filed in relations to litigations.
- Participate in fact finding process of legally critical events.
- Keep a track of lawyers invoices against chamber work and court appearances.
- Build a robust network of Lawyers / professionals to ensure seamless administration.

Compliance
- Work with internal departments to support timely renewal of licenses.
- Mindful monitoring of overall compliances through electronic tool.
- Participate in monitoring and building a regulatory compliance framework.
- Participate in building and monitoring contractual compliance framework.
Legal Governance
- Participate in conducting legal research on relevant legal and regulatory norms applicable for the operations of the company in different jurisdictions.
- Participate in developing and managing a corporate communication system for different levels to communicate business / operations relevant developments, events.
- Ensure that the Marketing collaterals / Media updates / Newspaper Publications are getting legally vetted.
MIS & Reporting
- Participate in preparation legal MIS with varied scope and frequency.
- Ensure the timely preparation and presentation of regular MIS.
- Statutory Compliance Reporting (generating, reviewing and reporting on regular interval)
