Listed Company & SEBI Compliance

Ensure compliance with SEBI (LODR) Regulations, SEBI PIT Regulations, SEBI SAST Regulations, and other applicable SEBI laws.

Handling quarterly, half-yearly, and annual compliances with Stock Exchanges (BSE/NSE).

Preparation, review, and filing of disclosures and intimations with Stock Exchanges.

Monitoring and reporting of shareholding patterns, corporate governance reports, and related filings.

Board, Committee & Shareholder Matters

Organizing and handling Board Meetings, Committee Meetings, and General Meetings.

Drafting notices, agendas, minutes, and resolutions.

Corporate & Secretarial Compliance

Ensuring compliance under the Companies Act, 2013 and applicable rules.

Maintenance of statutory registers, records, and secretarial documentation.

Assisting in preparation of Annual Report, Directors Report, and Corporate Governance Report.

Regulatory & Liaison

Liaison with Stock Exchanges, Depositories (NSDL/CDSL), RTA, auditors, and consultants.

Handling regulatory queries, inspections, and correspondence from SEBI/Stock Exchanges.

Supporting secretarial audits and internal audits.

Desired Skills & Competencies

Strong working knowledge of SEBI LODR and listed entity compliances.

Familiarity with BSE/NSE filing portals.

Good drafting, communication, and coordination skills.

Attention to detail and ability to work within regulatory timelines.

Proficient in MS Office and compliance management tools.

Preferred Profile

Experience in a listed company or listed company compliance consultancy.

Exposure to corporate actions such as dividends, bonus, rights issue, or preferential allotment (added advantage).
