Legal Manager

We are looking for a Legal professional with strong experience in Loan Against Securities (LAS) to support the legal function for secured lending. The role will focus on LAS documentation, regulatory compliance, transaction structuring, and legal risk management, while also providing support on Loan Against Property (LAP) and general lending transactions.

Key Responsibilities

• Draft, review, and negotiate loan agreements, pledge agreements, guarantees, indemnities, term sheets, and other lending documentation for LAS transactions.
• Provide legal support for lending against listed equities, mutual funds, bonds, ETFs, and other eligible securities, including pledge creation, invocation, and enforcement.
• Advise business, credit, risk, and operations teams on legal and regulatory aspects of LAS transactions and collateral structures.

• Review and structure lending transactions, identify legal risks, and recommend appropriate mitigants to facilitate timely deal closures.
• Ensure compliance with applicable RBI, SEBI, Companies Act, Depositories Act, and other relevant laws and regulations.
• Coordinate with external counsel, Depository Participants (NSDL/CDSL), custodians, trustees, and internal stakeholders for seamless transaction execution.
• Support legal due diligence, title verification, mortgage documentation, and security creation for Loan Against Property (LAP) transactions.
• Handle legal notices, recovery proceedings, litigation, and dispute management related to secured lending portfolios
• Monitor regulatory developments and support implementation of changes to legal documentation and internal processes.

Desired Profile

• LLB from a recognized university (LLM preferred)
• 5–8 years of legal experience in an NBFC, Bank, Brokerage, Wealth Management, or Financial Services organization.
• Strong hands-on experience in Loan Against Securities (LAS) with exposure to structured lending and secured financing transactions.
• Working knowledge of pledge mechanisms, demat securities, mutual funds, depositories (NSDL/CDSL), and transaction documentation.
• Exposure to LAP legal due diligence, title verification, and mortgage documentation will be an added advantage.
• Excellent drafting, negotiation, analytical, and stakeholder management skills.
