Job Description

Role: Legal Head EPC (Railway Bridge Construction Projects)


1. Contract Management & Advisory

  • Drafting, vetting, negotiation, and finalization of EPC contracts including Railway Contracts, GCC, SCC, LOA, Work Orders, and Sub-contracts.
  • Interpretation and advisory on IRCON / RVNL / DFCCIL / RITES / Indian Railways contract conditions.
  • Legal support during pre-bid, bid submission, and post-award stages.
  • Advising Project Teams on contractual rights, obligations, deviations, and risk mitigation.

2. Claims, Disputes & Arbitration

  • Handling contractual claims related to time extension (EOT), cost escalation, variation orders, idle charges, force majeure, and delay damages.
  • Preparation and vetting of claim documents, rebuttals, counter-claims, and legal notices.
  • Managing arbitration proceedings, appointment of arbitrators, pleadings, evidence, and hearings.
  • Coordination with external counsels, advocates, and arbitrators.
  • Settlement of disputes through conciliation, mediation, or negotiated settlements.

3. Litigation Management

  • Managing litigation before High Courts, District Courts, NCLT, Commercial Courts, Railway Tribunals, and Arbitration Tribunals.
  • Drafting and vetting of petitions, affidavits, written statements, appeals, and replies.
  • Monitoring case status, hearings, and compliance with court orders.
  • Advising management on litigation risks, exposure, and strategic decisions.

4. Statutory & Regulatory Compliance

  • Ensuring compliance with applicable laws such as:
    • Indian Contract Act, Arbitration & Conciliation Act, Companies Act
    • Railway Act & Railway Safety Regulations
    • Labour Laws, Environmental Laws, Land Acquisition & R&R laws
  • Advising on statutory approvals, licenses, and regulatory clearances for railway and bridge projects.
  • Supporting audits and responding to legal observations from authorities.

5. Risk Management & Governance

  • Identifying legal and contractual risks at tendering and execution stages.
  • Developing risk mitigation strategies for EPC railway bridge projects.
  • Ensuring adherence to corporate governance standards and internal policies.
  • Maintaining legal MIS, case trackers, and contract registers.

6. Sub-Contractor & Vendor Legal Support

  • Drafting and vetting sub-contracts, JV agreements, MoUs, NDAs, vendor contracts.
  • Resolving disputes with sub-contractors, consultants, and suppliers.
  • Advising on termination, suspension, back-to-back obligations, and recovery clauses.

7. Project-Level Legal Support

    Regular interaction with Project Directors, Planning, Contracts, Billing, and Engineering Teams.
  • On-site legal support for critical bridge construction issues such as access disputes, ROW issues, safety-related legal matters, and local authority issues.
  • Advising on termination, suspension, or closure of projects.

8. Strategic & Management Advisory

  • Acting as a key legal advisor to senior management on high-value EPC railway bridge projects.
  • Supporting business expansion, JV/Consortium formation, and new project acquisition.
  • Legal due diligence for mergers, acquisitions, and strategic partnerships in EPC domain.

9. Documentation & Knowledge Management

  • Standardization of contract templates, legal formats, and SOPs.
  • Knowledge sharing and training of project teams on contractual and legal awareness.
  • Maintaining centralized repository of contracts, cases, and legal precedents.

Key Skills & Experience Required

  • 12–20+ years of experience in EPC / Infrastructure / Railway / Bridge Construction.
  • Strong exposure to Railway EPC Contracts, Claims & Arbitration.
  • Excellent drafting, negotiation, and litigation management skills.
  • Ability to handle high-value projects (500 Cr+ to 2,000 Cr+).
