Job Role :
1. Secretarial Functions:
Maintain statutory registers and records under the Companies Act, 2013.
Draft and review contracts, agreements, and other legal documents as required.
Handle correspondence with regulators such as ROC, SEBI, and Stock
Exchanges.
2. Board & Committee Management:
Organize and manage Board, Committee, and General Meetings, including AGM/EGM.
Prepare and circulate agendas, notices, resolutions, and board papers.
Draft, finalize, and maintain records of minutes of meetings.
3. Compliance Management: Ensure compliance with the Companies Act, 2013, SEBI (LODR) Regulations, 2015, and other applicable corporate laws. Timely submission of all statutory filings with the Registrar of Companies (ROC) and Stock Exchanges. Monitor and manage periodic and event-based compliances, such as disclosures, filings, and intimations.
5. Stock Exchange Compliance:
Oversee all stock exchange-related compliances, including disclosures and corporate governance requirements.
Manage voting results and e-voting procedures in compliance with SEBI guidelines.
6. Advisory Role:

Liaise with legal advisors and regulatory authorities on behalf of the company.
Required Skills:
- In-depth knowledge of corporate laws, SEBI regulations, and stock exchange compliance.
- Strong drafting, legal interpretation, and analytical skills.
- Proficiency in using secretarial tools and e-filing platforms (e.g., MCA21, BSE/NSE portals).
- Excellent communication and interpersonal skills.
- Ability to work independently and lead secretarial functions.
