Role Overview
The Legal & CS role is critical for ensuring regulatory compliance, legal risk mitigation, and corporate governance in an NBFC environment. The position supports business continuity by managing statutory obligations, RBI compliances, legal documentation, and board governance, thereby enabling safe and compliant growth of lending and fi nancial operations
We are seeking a strong legal-focused CS professional to ensure regulatory compliance, risk mitigation, contract management, and governance support The role is critical to safeguard the company against regulatory, contractual, and litigation risks ,while ensuring smooth compliance with RBI, Companies Act, and other applicable laws
Key Focus Area
- Oversee legal compliance, contract management, statutory fi lings, and corporate governance in line with regulatory requirements
- Handle end-to-end legal documentation, regulatory compliance, board matters, and risk mitigation for the organization
- Manage legal aff airs including contracts, statutory compliances, corporate governance, and regulatory advisory
- Ensure compliance with company law and applicable regulations while handling legal documentation and governance frameworks
Responsibilities
Legal due diligence for borrowers, vendors, and partners
- Draft, review, and vetcontracts, agreements, MOUs, NDAs, SLAs, and loan-related legal documents
- Handle legal notices, replies, and offi cial legal correspondence
- Coordinate with external legal counsel on litigation, notices, disputes, and recovery matters
- Ensure compliance with applicable laws and regulations(Companies Act, Contract Act, RBI guidelines, Labour Laws, etc)
- Identify legal and compliance risks and advise management on risk mitigation
- Handle Board, Committee, and General Meetingsdrafting notices, agendas, minutes, and resolutions
- Maintain statutory registers, records, and regulatory filingsCoordinate with auditors, regulators, and consultants
Skills and Experiences
- Company Secretary (CS) Mandatory
- LLB Mandatory
- 3-7 years of relevant experience
- Mandatory experience in NBFC / Banking / Financial Services
Strong knowledge of:
- Companies Act, 2013 RBI & NBFC regulations, Financial & lending documentation
- Strong exposure to legal documentation and regulatory compliance
- Experience in legal drafting and compliance filings
- Familiarity with MCA portal and RBI filings
- Strong attention to detail
- Excellent drafting and communication skills
- Ability to work independently and handle confi dential matters
- Risk-oriented and compliance-driven mindset
Qualification:
CS (Company Secretary) from ICSI; And LLB is mandatory for this role
