Job Description
Manager - Legal role focused on commercial contracting, customer bids, partnerengagements, vendor agreements, and legal research requires expertise incontract lifecycle management within a tech sales environment like Subex.
Commercial Contracting
Review, draft, vet, and negotiatecustomer contracts and associated documents in accordance with SubexContracting Standards for the Africa Sales, including MSAs, SOWs, SaaSagreements, Software License and Services Agreements, Change Requests,Addendums and Amendments, ensuring all customer contracts are negotiated tillclosure, with compliance to company policies.
Customer Bids (RFP/RFQ/RFI)
Review and provide legal inputs onresponses to RFPs, RFQs, and RFIs received from Telcos.
Identify legal, compliance, andcontractual risks in bid documents related contracts and propose feedback tomitigate risk.
Partner Engagements
Review, negotiation, and closure oflegal documentation and agreements for Partners, Resellers, Distributors andTeaming partners for resell of Subex products services by ensuringcompliance to Subex Contracting Standards.
4. Vendor Agreements
Review, negotiate, and finalizeVendor Agreements, NDAs, Subcontractor Agreements and similar third-partydocumentation as and when required.
5. Legal Research Miscellaneous
Update Subex Contract Templates asand when required.
Legal Research on new Statutes,Rules, Legal concepts, Governing Law and any other topic as and whenrequired.
Essential Qualifications:
Candidates typically hold abachelors degree in law (LLB) or equivalent, with 7-10 years of experience incommercial contracting for software/SaaS companies, preferably in telecom orAfrica markets.
Equivalents enhance credibility forhandling MSAs, SOWs, and RFPs. Membership in bar councils or familiarity withinternational laws (e.g., English law for governing contracts) is mandatory.

Proficiency in drafting, reviewing,negotiating, and closing contracts including SaaS agreements, Licence sagreement, change requests, and NDAs, ensuring compliance with companystandards.
Strong risk assessment abilities foridentifying legal/compliance issues in RFPs/RFQs from telcos and proposingmitigations.
Excellent legal research skills on statutes, governing laws, and templateupdates.
Additional Competencies:
Negotiationexpertise with customers, partners, resellers, distributors, and vendors tosecure favorable terms and minimize risks.
Analyticalskills for bid reviews, partner agreements, and third-party documentation.
Relationship-buildingand communication for cross-functional collaboration with sales, finance, andbusiness teams.
