About the Company
Technocraft Ventures Limited is a 27-year-old infrastructure development company with annual revenues exceeding 250 Crore. We specialise in wastewater treatment infrastructureincluding sewage treatment plants (STPs), pumping stations, and sewerage networksunder marquee government programmes such as AMRUT 2.0 and Namami Gange Mission, operating across Rajasthan, Uttar Pradesh, Delhi, Madhya Pradesh, Bihar, Odisha, and more.
The Company has filed its Draft Red Herring Prospectus (DRHP) with SEBI and is on the verge of listing on Indian stock exchanges. This is a unique opportunity to join at a pivotal moment and play a foundational role in shaping the governance and compliance framework of a newly listed entity.
About the Role
We are hiring a qualified and experienced Company Secretary (KMP) to lead all aspects of corporate governance, regulatory compliance, and Board management. Reporting directly to the Board of Directors and the Whole Time Director & CFO, you will be the custodian of the Company’s compliance architecture as it transitions into a listed entity. This role demands a professional who can independently manage the full spectrum of secretarial and listing compliance from Day 1.
Key Responsibilities
Governance & Board Management
- Plan, convene, and manage Board Meetings, Committee Meetings (Audit Committee, NRC, CSR, Stakeholders’ Relationship Committee, etc.), AGMs, and EGMs end-to-end.
- Draft and circulate notices, agendas, board notes, resolutions, and minutes; ensure timely closure of action items.
- Maintain all statutory registers, records, and corporate documentation in audit-ready condition.
Listing & Stock Exchange Compliance
- Handle all filings with NSE/BSE—financial results, shareholding pattern, corporate governance reports, material event disclosures, board meeting outcomes, and all periodic/event-based filings under SEBI (LODR) Regulations.
- Ensure full compliance with Insider Trading Regulations including trading window management, structured digital database maintenance, UPSI controls, and periodic compliance certifications.
- Coordinate with RTA, Depositories (NSDL/CDSL), Stock Exchanges, SEBI, and other regulatory authorities.
- Handle investor grievances and manage SCORES complaints within prescribed timelines.
Statutory & ROC Compliance
- Manage all ROC filings—MGT-7, AOC-4, DIR-12, PAS-3, and other statutory forms—within due dates.
- Support secretarial audit, statutory audit, and internal audit processes; liaise with auditors for timely closure.
- Oversee corporate actions such as bonus issue, rights issue, preferential allotment, ESOPs, stock split, buyback, etc.
Policy, Reporting & Strategic Support
- Draft, review, and update internal policies—RPT Policy, Code of Conduct, Vigil Mechanism, Risk Management Policy, Archival Policy, Dividend Distribution Policy, and others as required.
- Prepare corporate governance disclosures and contribute to the Annual Report.
- Provide secretarial and regulatory support for corporate restructuring, mergers, acquisitions, and other strategic transactions.
Qualifications & Experience
Mandatory
- Qualified Company Secretary—Member of ICSI (ACS/FCS).
- 8–12 years of post-qualification experience in company secretarial practice.
- Minimum 4–5 years of hands-on experience working in or with a Listed Company, with demonstrated expertise in SEBI (LODR) and stock exchange compliance.
Preferred
- LLB or additional legal qualification.
- Experience with IPO / listing process—candidates who have been through a listing journey will have a distinct advantage.

- Familiarity with infrastructure, EPC, or government contract-based businesses.
Key Skills & Competencies
- Deep working knowledge of the Companies Act 2013, SEBI Regulations (LODR, PIT, ICDR, Takeover Code), and Secretarial Standards.
- Excellent drafting, documentation, and legal communication skills.
- Proficiency with MCA portal, NSE/BSE listing portals, and SCORES platform.
- Strong analytical thinking, attention to detail, and the ability to manage multiple compliance timelines simultaneously.
- Ability to work closely with senior management, the Board of Directors, and external advisors with a high degree of professionalism and confidentiality.
Compensation & Benefits
Compensation will be competitive and aligned with industry standards for listed company CS roles. The indicative CTC range is 10 LPA – 14 LPA, commensurate with experience, exposure, and the scale of previous organisations.
