Job Role Purpose & Objective:

Ensuring compliance with the Companies Act, 2013, SEBI (Prohibition of Insider Trading) Regulation, 2015, the Banking Regulations and circulars issued thereunder.

• Drafting of Legal Contract & Agreement
• Finalising of agenda, minutes, and circular resolution of Board/Committee/General Meeting
• Maintaining Statutory Register
• E Form filing with the Ministry of Corporate Affairs (MCA)
• Monthly/quarterly/half yearly and annual Compliance under various acts/regulations applicable to the Bank
• Formulation/review/implementation of Policies/SOP pertaining to Secretarial Team of the Bank
• Assisting Internal/Statutory/Secretarial auditor for completing their audit activities
• Providing data to RBI inspection
• Handling of Complaints/requests/queries received from PNCPS and Equity warrant holders.
• Processing payment of Dividend as per the RBI scheme of amalgamation

Minimum Requirements of knowledge & Skills

Excellent drafting and revieing of agreements

Good understanding of Companies Act - 2013

Competency & Skills Required

Excellent written and verbal skills

Good drafting skills of agreement

Ability for interpretation of Act/Regulation
