Position Title : Associate / Senior Associate - Financial Due Diligence (FDD) & Investment Banking
Location : Mumbai, India
Qualification :
- Chartered Accountant (CA) - Mandatory
- Candidates who are not qualified CAs should not apply.
Experience
- Minimum 2 years of relevant experience is mandatory.
- 2-6 years of experience in Investment Banking, Transaction Advisory, Financial Due Diligence, IPO Advisory, or Corporate Finance preferred.
Role Overview
- We are seeking a dynamic and detail-oriented professional with strong exposure to Financial Due Diligence (FDD), IPO advisory, and capital market transactions. The candidate will be involved in executing SME/Mainboard IPO assignments, fundraising transactions, financial analysis, and regulatory compliance activities.
- The role requires strong analytical skills, knowledge of SEBI regulations, transaction execution capability, and the ability to coordinate with multiple stakeholders within strict timelines.

Key Responsibilities :

- IPO & Capital Market Transactions
- Assist in execution of SME and Mainboard IPO assignments from initiation to listing.
- Prepare and review IPO-related documentation including DRHP, RHP, and other regulatory filings.
- Support fundraising transactions including:
- IPOs
- Pre-IPO Placements
- Preferential Issues
- Rights Issues
- Private Placements
- Coordinate with Merchant Bankers, Legal Counsel, Auditors, Registrars, and Stock Exchanges during transaction execution.

Financial Due Diligence (FDD) :
- Conduct financial due diligence and business analysis for transaction mandates.
- Review and finalize financial statements in compliance with applicable accounting standards.
- Analyze business operations, financial risks, profitability trends, and key performance indicators.
- Prepare due diligence reports, issue trackers, compliance checklists, and transaction summaries.
Financial Analysis & Valuation :
- Analyze financial statements, ratios, cash flows, and business models.
- Prepare financial models, valuation workings, and investor presentations.
- Support preparation of management discussions, financial summaries, and analytical reports for investors and stakeholders.
- Regulatory & Compliance
Ensure compliance with :
- SEBI ICDR Regulations
- Listing Regulations
- Companies Act requirements
-Monitor transaction timelines and regulatory deliverables.
- Maintain compliance trackers and documentation records.
Required Skills & Competencies :
- Strong understanding of SEBI ICDR Regulations and IPO processes.
- Experience in Financial Due Diligence (FDD) and transaction advisory.
- Knowledge of capital market and fundraising transactions.
- Strong analytical and financial statement review capabilities.
Proficiency in :
- MS Excel
- Financial Modeling
- Report Preparation
- PowerPoint Presentations
- Ability to manage multiple live transactions simultaneously.
- Excellent communication, coordination, and stakeholder management skills.
- Strong attention to detail and adherence to timelines.
Mandatory Criteria :
- Qualified Chartered Accountant (CA) only.
- Minimum relevant experience is mandatory.
- Candidates without relevant transaction/FDD/IPO experience will not be considered.
Preferred Profile :
- Prior experience in Investment Banking, Merchant Banking, CA firms, or Transaction Advisory.
- Exposure to SME/Mainboard IPO assignments preferred.
- Ability to work in a fast-paced and transaction-driven environment.
