Job Summary

We are looking for an experienced Company Secretary (CS) for our Devanahalli, Bangalore location. The candidate should have 10+ years of experience in corporate secretarial functions, legal compliance, corporate governance, and regulatory matters. An LLB qualification is mandatory along with Company Secretary certification.

Key Responsibilities

• Ensure compliance with the Companies Act, SEBI regulations, and other statutory requirements.
• Manage Board Meetings, Committee Meetings, AGM/EGM, and maintain statutory records.
• Draft resolutions, minutes, notices, and other corporate documents.
• Liaise with regulatory authorities, auditors, and legal advisors.
• Handle corporate governance and secretarial compliances.
• Support legal matters, contracts, and documentation.
• Ensure timely filing of returns, disclosures, and statutory submissions.
• Advise management on corporate and legal compliance matters.

Desired Profile

• Qualified Company Secretary (CS) with LLB qualification.
• Minimum 10 years of experience in Secretarial and Legal functions.
• Strong knowledge of the Companies Act, corporate governance, and regulatory compliance.
• Excellent communication and stakeholder management skills.
• Experience in manufacturing or industrial organizations will be preferred.
